General Terms and Conditions (GTC)

for Event Organizers and Operators of Ticket Vision LLC. Effective from: 01/06/2024.

Preamble

Ticket Vision LLC, Saburtalo District, Didi Digomi Settlement, Micro District III, Building 8, 0131 Tbilisi City (hereinafter referred to as “ticket.vision”), operates a digital online ticketing system for the marketing and brokerage of admission tickets and event-related services.

Through the respective top-level domains and subdomains – for example “www.name.ticket.vision” – event organizers and operators can independently create events, distribute tickets, and operate their own individual ticket shop.

The following General Terms and Conditions supplement the client agreement and govern all rights and obligations in connection with the use of the ticket shop, the brokerage and sale of tickets, payment and refund processing, and all other services offered by ticket.vision.

§ 1 Subject Matter of the Contract

(1) Brokerage of Ticket Sales

The organizers permanently commission ticket.vision with supporting and brokering the sale of tickets for their own events. ticket.vision offers the tickets in the name and on behalf of the organizers via the operated online ticketing system.

The ticket purchase contract is concluded exclusively between the organizers and the respective end customers. ticket.vision acts solely as a commercial intermediary. The organizers expressly grant ticket.vision authority to conclude ticket purchase agreements with end customers on their behalf.

ticket.vision collects payments from end customers in trust and pays them out to the organizers after settlement. For legally compliant payment processing, ticket.vision is entitled to use external financial service providers.

(2) Provision of the Account and Payment Methods

ticket.vision provides organizers with a free account. Different payment methods are available for ticket sales, including Prepayment, Direct debit, Instant bank transfer, PayPal, iDeal, and Credit card.

Organizers are obliged to offer at least “Instant Bank Transfer” and at least one additional payment method. ticket.vision collects all ticket revenues including applicable fees and manages them in trust.

(3) Additional Contractual Terms of the Organizers

Organizers may provide supplementary contractual terms for individual events. These may contain special regulations regarding the execution of the respective event and apply in addition to the General Terms and Conditions of ticket.vision.

§ 2 Rights and Obligations of Organizers Regarding Account Use

(1) Registration

To use the services of ticket.vision, organizers receive a personal free account. Access is provided via the registered email address and a self-selected password.

(2) Mandatory Information

Organizers undertake to provide all information during registration completely, correctly, and truthfully. Registration is only possible if all mandatory fields are completed.

(3) Access Data

Access credentials may be changed independently after successful registration.

§ 3 General Obligations of Organizers

(1) Verification and Anti-Money Laundering

Organizers expressly agree that ticket.vision may conduct identity and legitimacy checks, or have such checks conducted by commissioned financial service providers.

(2) Master Data

Organizers undertake to keep all company and contact information complete and up to date.

§ 4 Rights of ticket.vision

ticket.vision is entitled to correct obvious errors in event information and to block, reject, or remove events or content at any time if legal regulations or these GTC are violated.

§ 5 Ticket Prices and Fees

The ticket price charged to end customers generally consists of the base ticket price and the presale fee. The specific fees are governed by the respective client agreement and the current price list.

§ 6 Settlement and Payout

Settlement occurs no later than seven days after the respective event has taken place. ticket.vision may deduct outstanding fees directly from collected revenues.

§ 7 Reversals

Reversal of ticket purchases occurs particularly at the request or with the consent of the organizers, or due to legal obligations.

§ 8 Liability and Limitation of Liability

Use of the offered services is at the organizers’ own risk. ticket.vision shall only be liable for intent and gross negligence.

§ 9 Contract Duration and Termination

The contract term is governed by the respective client agreement. Termination for good cause remains unaffected.

§ 10 Exclusivity Commitment

Within the framework of a premium contract, exclusive brokerage of ticket sales through ticket.vision may be agreed upon.

§ 11 Trademark and Intellectual Property Rights

All rights to the platform remain exclusively with ticket.vision. Any reproduction or use beyond the contractual purpose is prohibited.

§ 12 Confidentiality

Both contractual parties undertake to treat confidential information strictly confidentially beyond termination of the contractual relationship.

§ 13 Final Provisions

ticket.vision reserves the right to amend these GTC, to send legally relevant declarations via email or fax, and to receive information and newsletters.

Applicable law is the law of the European Union and the respectively applicable national law. Place of jurisdiction is Tbilisi, Georgia.
